These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between you (whether an individual or entity, "User," "you," or "your") and Certified Credentialing LLC, a Texas limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the websites Certifycreds.com, Certified-Credentialing.com (collectively, the "Services" or "Platform").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. ELIGIBILITY

You must be at least eighteen (18) years of age to use our Services. By using our Services, you represent and warrant that:

  • Healthcare provider credentialing consulting

  • Payer enrollment services

  • Administrative credentialing support

  • Healthcare license verification

  • Certification issuance and management

  • Credential database maintenance

  • Primary source verification

  • Related healthcare administrative services

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

4. USER ACCOUNTS

4.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Accept responsibility for all activities occurring under your account

As a provider of healthcare credentialing services, we maintain compliance with the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations. Our handling of Protected Health Information ("PHI") is governed by our HIPAA Business Associate Agreement, which is incorporated into these Terms by reference.

5.2 Business Associate Agreement

If you are a Covered Entity or Business Associate under HIPAA, you agree to execute our Business Associate Agreement ("BAA") prior to transmitting any PHI through our Services.

5.3 Privacy Practices

Our collection, use, and disclosure of PHI and other personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. USER CONTENT AND DATA

6.1 User Submissions

You may upload, submit, or transmit content, documents, and data through our Services ("User Content"). You retain ownership of your User Content but grant us a license as described below.

6.2 License Grant

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, display, and transmit your User Content solely for the purpose of providing our Services to you.

You represent and warrant that:

  • You have all necessary rights to submit User Content

  • Your User Content does not violate any third-party rights

  • Credentials submitted for verification may be denied

  • Verification processes may require additional documentation

  • Timeframes for verification are estimates and not guarantees

  • We are not liable for delays in third-party verification processes

7.2 Accuracy of Information

You are responsible for ensuring all information submitted for credentialing is accurate, complete, and current. Submission of false or misleading information may result in denial of credentials and termination of Services.

8. PAYMENT TERMS

8.1 Fees

Fees for our Services vary based on:

  • Number of credential files processed

  • Service tier selected

  • Negotiated terms in separate written agreements

  • Additional services requested

8.2 Payment

Payment terms are established on a per-client basis through separate written agreements or invoices. Unless otherwise specified in writing:

  • Payments are due upon receipt of invoice

  • Late payments may incur interest at 1.5% per month or the maximum rate permitted by Texas law

  • We reserve the right to suspend Services for non-payment

8.3 Refunds

Refund policies are determined on a case-by-case basis and will be specified in your service agreement. Unless otherwise agreed in writing, all fees are non-refundable.

9. INTELLECTUAL PROPERTY

9.1 Company Property

All content on our Platform, including text, graphics, logos, images, software, and compilation of content, is the property of Certified Credentialing LLC or its licensors and is protected by United States and international intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose in accordance with these Terms.

9.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of our Services

  • Reverse engineer or attempt to extract source code

  • Remove or alter proprietary notices

WE DO NOT WARRANT THAT:

  • OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE

  • DEFECTS WILL BE CORRECTED

  • OUR SERVICES ARE FREE OF VIRUSES OR HARMFUL COMPONENTS

  • RESULTS OBTAINED FROM OUR SERVICES WILL BE ACCURATE OR RELIABLE

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERTIFIED CREDENTIALING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL

  • THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Healthcare Services Disclaimer

WE DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. OUR CREDENTIALING SERVICES ARE ADMINISTRATIVE IN NATURE AND DO NOT CONSTITUTE HEALTHCARE SERVICES.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Certified Credentialing LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your User Content

  • Any false or misleading information you provide

13. DISPUTE RESOLUTION

13.1 Arbitration Agreement

ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION, EXCEPT AS OTHERWISE PROVIDED HEREIN.

13.2 Arbitration Process

  • Arbitration shall be conducted by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association

  • Arbitration shall take place in Dallas County, Texas

  • The arbitrator's decision shall be final and binding

  • Each party shall bear its own costs and attorneys' fees unless otherwise awarded by the arbitrator

13.3 Class Action Waiver

YOU AGREE TO BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions to Arbitration

The following claims are exempt from arbitration:

  • Claims for injunctive relief to stop unauthorized use of our Services

  • Claims related to intellectual property rights

  • Small claims court actions

14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

15. COMPLIANCE WITH LAWS

15.1 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

15.2 Healthcare Regulations

You agree to comply with all applicable healthcare laws and regulations, including but not limited to HIPAA, state licensing requirements, and payer-specific credentialing requirements.

16. TERM AND TERMINATION

16.1 Term

These Terms remain in effect while you use our Services.

16.2 Termination by You

16.3 Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including:

  • Non-payment of fees

Upon termination:

  • We may delete your account and User Content

  • All provisions of these Terms that should survive termination shall remain in effect

17. MISCELLANEOUS

These Terms, together with our Privacy Policy, BAA (if applicable), and any separate written agreements, constitute the entire agreement between you and Certified Credentialing LLC.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

No waiver of any term or condition shall be valid unless in writing and signed by Certified Credentialing LLC.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

  • Time is of the essence with respect to all provisions requiring performance within a specified time

  • The prevailing party in any legal action may be entitled to recover reasonable attorneys' fees as permitted by Texas law
